These terms apply to all services and websites operated by CedarStone Commerce LLC ("CedarStone Commerce", "we", "us" or "our"), reachable at sales@cedrstone.com.
1. Acceptance of Terms
By accessing or using the website cedrstone.com (the "Site") or engaging CedarStone Commerce LLC for any professional services (the "Services"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the Site or our Services.
2. Services
CedarStone Commerce provides software development, SaaS solutions, IT consulting, marketing, and automation services. The specific scope, deliverables, timeline, fees, and acceptance criteria for any engagement will be defined in a separate written Statement of Work ("SOW") signed by both parties.
3. Client Responsibilities
- Provide timely access to information, systems and stakeholders necessary to perform the Services.
- Review deliverables and provide feedback within the agreed acceptance window.
- Ensure that any content or data provided to us does not violate any third-party rights or applicable laws.
4. Fees and Payment
Fees are described in each SOW. Unless otherwise agreed in writing, invoices are payable within fifteen (15) days of receipt. Overdue amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law. We reserve the right to suspend work on overdue accounts.
5. Intellectual Property
Upon full payment for an engagement, all custom-developed deliverables produced specifically for the client under the relevant SOW become the client's property, excluding our pre-existing tools, libraries, templates, and any third-party components, which remain owned by their respective owners and are licensed for use within the deliverables.
6. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party and to use such information solely to perform its obligations under the SOW. This obligation survives termination for a period of three (3) years.
7. Warranty and Disclaimer
We warrant that Services will be performed in a professional and workmanlike manner. Except for the foregoing, the Site and Services are provided "as is" without warranties of any kind, whether express, implied, statutory or otherwise, to the maximum extent permitted by applicable law.
8. Limitation of Liability
To the maximum extent permitted by law, CedarStone Commerce LLC's aggregate liability arising out of or related to any engagement shall not exceed the total fees paid by the client for the specific Services giving rise to the claim during the three (3) months preceding the event. Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages.
9. Termination
Either party may terminate an engagement for material breach not cured within fifteen (15) days of written notice. Upon termination, the client shall pay for all Services performed up to the effective date of termination.
10. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in Allegheny County, Pennsylvania.
11. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted on this page with an updated "Last updated" date. Continued use of the Site or Services constitutes acceptance.
